The purpose of the study is to analyze comprehensively of the legal foundations of the activities of one of the key financial institutions of the Russian province, the Orel Commercial Bank, during the pre–revolutionary period of its existence.
Problem. The article is devoted to the consideration of issues of interaction between private banking capital and the state in the conditions of the emerging legal framework of the Russian Empire. The problem of the correlation between centralized regulation (regulations of the Ministry of Finance, charters of the State Bank) and the local statutory practice of a particular credit institution is raised. The article examines how universal banking legislation has adapted to the realities of the regional market and the needs of the local merchants and nobility.
Methodology. The research is based on the methods of historical, legal and documentary analysis. The archival funds of the State Archive of the Orel Region (SAOR), the Russian State Historical Archive (RSHA), as well as published charters, reports and reference publications are used as materials. The sources were the Charter of the Orel Commercial Bank, minutes of shareholders' meetings, correspondence with regulatory authorities, balance sheets. A review of the legislative framework has been carried out (Credit Charter, Regulation on taxes on Trade and Crafts, etc.).
Novelty and results. The novelty of the research is seen in the micro-historical approach to the study of financial law through the prism of a specific institution. For the first time, data is being introduced into scientific circulation that details the procedure for approving and subsequent amendments to the bank's charter, as well as the practice of its daily activities in the legal field. The results of a comparative analysis of the bank's statutory provisions with national standards are presented. Attention is paid to the evolution of regulation of key operations, such as accounting for bills of exchange, issuing loans secured by goods and real estate, and attracting deposits. It is shown that the charter was not only a formal document, but also an adaptation tool that allowed the bank to flexibly respond to the market conditions within the framework outlined by law. The author concludes that the legal basis of the bank's activities reflected a compromise between the interests of the metropolitan bureaucracy, which sought unification and control, and the regional elite, interested in affordable credit and business autonomy.
Research perspectives. This work provides the basis for further research in the field of comparative analysis of the statutory practice of provincial banks in different regions, which allows to reveal the common features and peculiarities of the formation of the legal culture of Russian entrepreneurship in the pre-revolutionary period.
